(1) Introduction

1.1 Member Agreement

By becoming a member of the Small Brand Network (tSBN), you agree to all of the "Terms Of Service" listed on this page. If you do not agree with the "Terms Of Service" outlined below, then do not join this network.

1.2 Changes

Please remain updated with the "Terms Of Service" below, as changes can be made at any time. Members will be notified of any changes to be made to the terms and conditions, to provide them with the opportunity to review such changes before they are implemented, and terminate their membership if they do not agree with the changes. Notification of pending changes will occur as explained in Section 2.3.

(2) Obligations

2.1 Your Profile

Once you have registered, you will have your own profile. Unless you delete your profile, or report misuse by an unauthorized party, you are responsible for any activity made through your profile. When registering, you agree that you will: (1) attempt to choose a password that is strong and secure; (2) keep the password that you choose confidential and secure and (3) not release any content (blog posts, member details etc.) from the network that is restricted to members, to non-members outside this network. Sharing of restricted (member only) content with non-members can result in cancellation of your membership without a refund for the monthly access that remains.

2.2 Payment

Cost of membership for tSBN is charged at $3 AUD per month.

Payment for membership is to be made on the day of becoming a member, and then every month thereafter.

Failure to pay the monthly membership fee can result in your account being disabled and possibly deleted. Visit the FAQs for the full 'failed membership payment' process.

Your membership fee may be subject to foreign exchange fees or differences in prices based on location (exchange rates).

Your monthly membership purchase is subject to tSBN's "Refund Policy" (7).

Payment for membership is handled by Stripe. As such, any information you enter for processing of payments will never be held nor requested by tSBN. If you are ever requested to hand over your payment information, please contact tSBN immediately using the form on the contact page to notify tSBN of the situation. Never use links in emails or private messages of any sort to change your information, or exchange your personal information.

2.3 Notices & Service Messages

You agree as a member of tSBN to receiving notices from us in one of the following ways: (1) via the "Notices" page, accessible from the main navigation panel at the left of the screen; (2) a notice or message sent to the contact information you provided when joining as a member (email). You agree to keep your information up to date.

(3) Disclaimer & Limit Of Liability

3.1 ROI Guarentee

As a member of tSBN, you agree that there is no guarantee that the monthly membership fee payed to tSBN will result in financial gain for yourself or your brand. Any benefits or gains to be made from this network are entirely dependent on your ability as a member to connect and cooperate with other members.

3.2 No Warranty

A tSBN membership has NO warranty. Please refer to our "Refund Policy" (7) below for refunds in the event of network failure.

3.3 Limitation Of Liability

The Small Brand Network shall not be liable for:

  1. Losses that were not caused by OUR breach of these terms;
  2. Other content (including information that is incorrect, illegal, abusive etc.) posted by other members as outlined in Section 4.2; or
  3. Losses relating to any business of yours, loss or profits and loss of opportunity.

You agree that The Small Brand Network has been primarily designed to help like-minded individuals and brand owners connect, so that they can then work together in business to benefit all involved. What occurs between members once connections are made is under full control of the members involved. You negotiate and deal with other members at your own risk. For The Small Brand Network to be held liable for any dealings and unfavorable results of any dealings is not reasonable.

(4) Rights & Limits

4.1 Service Availability

We (tSBN) reserve the right to change or discontinue (temporarily or permanently) any of the services we provide. We do not promise to store or keep showing any information and content that you or anyone else has posted.

4.2 Other Content

As a member of tSBN, you may be exposed to content or information that may be incorrect, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. We (tSBN) do not always review and monitor content or information that is shared by members. As such, you agree that tSBN is not liable for any of the information provided by any members of this network.

(5) Cancellation Policy

5.1 Cancellation Of Your Membership

You reserve the right to cancel you membership at any time. In doing so, you will lose access to the services and content restricted for members only. Upon cancellation, the following shall survive:

  1. Our rights to disclose and use your feedback;
  2. Members rights to re-share content you shared through the network to the extent copied or re-shared prior to cancellation.

As a member, you also agree to tSBN having the right to cancel or disable your membership at any time. However, unless you have clearly breached the "Term Of Services" on this page, or not payed the membership fee as necessary, we will contact you first to resolve the issue. A clear breach remains the discretion of tSBN.

A refund from tSBN after cancellation of your membership will not be available, as outlined by our "Refund Policy" (7).

(6) Conflict Resolution & Misconduct

6.1 Conflict & Misconduct

If a conflict between two or more members cannot be resolved, and tSBN has been contacted regarding the conflict, then tSBN will intervene where possible and act accordingly within it's capacity. For disputes over agreed business exchanges, tSBN cannot intervene or act without proof of members having agreed clearly on an exchange of business.

If there is proof of clear terms for an exchange that have been agreed to by all members involved, and a member or members are believed by tSBN to be at fault, they may be requested to satisfy the requirements of the exchange. If a member or members decline to do this after having been requested to do so by tSBN (this request will be sent via email to the address linked to the member's account, as well as private message), then tSBN reserves the right to disable and/or cancel the account or accounts of the offending members (if they are considered by tSBN to be fraudulent), removing them from the network.

There will be no refund for any remaining time that the offending member has paid for, as per our "Refund Policy" (7) below.

6.2 Maximum Penalty/Power

The maximum penalty for misconduct that can be imposed by tSBN is the cancellation of a member's account. We (tSBN) will not be considered responsible for leading legal action against a member on behalf of another member/members.

6.3 Spam

Spamming of members is considered to be misconduct. Spamming is defined as "the sending of unsolicited e-mails or messages" to a member or members. To avoid your contact being mistaken as spam, please refer to our guidelines or communication (8.1). It remains the discretion of tSBN as to whether or not contact is considered spam. Punishment for spam can be the maximum penalty as outlined above (6.2).

6.4 Scams

Scamming of members is considered to be misconduct. Whether or not actions are considered as a scam remains the discretion of tSBN. A scam is defined as "A fraudulent scheme performed by a dishonest individual, group, or company in an attempt obtain money or something else of value". Punishment for a scam/scams can be the maximum penalty as outlined in above (6.2). Please refer to the guidelines for communication (8.1) to avoid your contact as being part of a scam.

(7) Refund Policy

7.1 Refunds

If for whatever reason you decide that you want to delete your account and no longer be a member, there will be no refund for the remaining days payed for.

If for issues regarding conflict and misconduct, tSBN deems it appropriate to delete a member's account and deny them access to the network, there will be no refunds given by tSBN to the member who's account has been deleted and had their access restricted.

7.2 Network Failure Refund

By becoming a member of tSBN, you agree to understanding, as do we (tSBN) that short term network failure may occur at any time and may be outside the control of tSBN. If network failure occurs for a total of 14 days or more in a single month, then each member shall receive a refund for the associated month. Periods of no member access to the network as a result of network improvements by administration are not included within this 14 day total.

(8) Guidelines

8.1 Basic Communication

By becoming a member of tSBN, you agree to understanding, as do we (tSBN) that spamming and scams can be beyond our (tSBN) control until notified by a member who has received such material. While we have implemented preventative strategies, it is very possible that dishonest and unsolicited behavior can occur. This network has not been designed as a vehicle for spam, rather a community for like-minded small brand owners and entrepreneurs to selectively communicate with each other for the benefit of all members involved.

To avoid having your own contact mistaken as spam or part of a scam, please consider the guidelines for communication below. These are only guidelines, not policy.

When making contact with a member for the first time, acknowledge them personally. For example, just "Hi" or similar without any inclusion of the receivers name could be considered as spam material.

If you choose not include a name at the beginning of your message/email, do your best to reference specifically to their brand, audience size and more. A template for the structure of your initial messages/emails is not our concern, but if you do not personalise your message/email and it appears generic, it is possible that you could be reported to tSBN for spamming.

8.2 Exchanging Business

How members choose to exchange business is the choice of the members involved. It is recommended however, that conversation occurs using the same method as often as possible, for example private messaging, or email, or Instagram direct messages etc., to avoid important details as part of any exchange being unseen, and resulting in conflict at a later time.

We also recommend that any exchange of business is clearly defined and agreed on by the members involved prior to any action. Doing this will prevent or eliminate situations whereby a member or members feel as if another member or members have not fulfilled their part of the exchange.

Remember, tSBN will not be held responsible for the actions of other members, or any loss of business for a member or members due to the actions of another member or members.
